Sinclairs Corporate Services’ fixed annual fee to act as Company Secretary or Assistant Company Secretary for a client company includes the following standard services:

Maintenance of the Company’s books and records;

Provision of 1 Certificate of Incumbency when required by the Company;

5 free notarized copies of the Company’s corporate records, upon request;

Signing of documents where required as Company Secretary or Assistant Company Secretary;

Preparation of 2 resolutions per year for use at EGMs or AGMs (additional resolutions at US$150.00 /per document); and
-
Ad hoc company secretarial services at a reduced hourly rate.
We are also able to provide the follow ad hoc company secretarial services which are charged at an hourly rate:

Preparing agendas for meetings;

Preparing / Issuing notices of meetings;

Collating proxy forms and ascertaining sufficient attendance (quorum) at meetings to allow the meeting to proceed; and
-
Taking minutes of EGMs, AGMs and shareholder meetings.
